Terms & Conditions of Service

These Terms & Conditions ("Terms") constitute a binding agreement between you ("Client") and Precision VirtuDesk Co. (PTY) LTD ("Company," "we," "us"). By requesting or accepting services, you agree to these terms.
1. Services Scope
The Company provides administrative support, career services, business documentation, design, and related professional services as quoted in writing. Services are limited to the scope specified in the quotation and service agreement.
Scope Exclusions: We do NOT provide:
- Tax or accounting advice (financial administration only)
- Legal advice
- Formal HR consulting or employment law guidance
- Certified recruitment or PEA services
- Services outside the agreed quotation scope
2. Quotations & Acceptance
- Quotations are valid for 14 days unless stated otherwise
- A deposit (typically 50%) is required to confirm the engagement
- Acceptance of the quotation + deposit constitutes a binding service agreement
- Service commencement begins upon deposit receipt
3. Payment Terms
- Standard: 50% deposit, 50% on delivery
- Career packages: 100% upfront or 50/50 split
- Flexible payment plans: Available by special request
- Payment methods: EFT, PayFast, SnapScan, PayPal, Wise, Bank Transfer
- Invoices are due within 7 days unless otherwise agreed
- Late payments may incur interest at 0.5% per month (6% annually)
4. Revisions & Scope Creep
- Included revisions are specified in each package (typically 2–3 rounds)
- Additional revision rounds are charged at agreed hourly rates
- Scope creep: Significant changes to the original brief constitute new scope and require a revised quote
- Revision requests must be submitted in writing within 30 days of delivery
5. Client Responsibilities
The Client is responsible for:
- Providing accurate, timely information
- Granting access to necessary accounts or systems (where applicable)
- Ensuring all submitted content complies with applicable laws
- Obtaining permissions for third-party materials (images, logos, content)
- Timely feedback on drafts and deliverables
6. Intellectual Property
- Work product created for you becomes your property upon full payment
- Pre-existing Company templates, processes, or tools remain Company property
- Client grants permission for anonymized work samples in portfolio (unless NDA applies)
- NDAs are honored where signed in advance
7. Confidentiality
Both parties agree to maintain confidentiality of proprietary information. The Company will not disclose Client information to third parties without written consent, except as required by law or to service providers under confidentiality agreements.
8. Delivery Timeline
- Delivery timelines are estimates unless marked as guaranteed
- Delays may occur due to Client feedback delays, revision requests, or circumstances beyond reasonable control
- Rush delivery requires advance written agreement
- Work is considered delivered upon transmission; Client acceptance confirms receipt
9. Liability & Disclaimers
The Company's liability is limited to the amount paid for the service. The Company is not liable for:
- Indirect, consequential, or lost-profit damages
- Issues arising from Client misuse of deliverables
- Third-party platform changes (LinkedIn, social media, etc.)
- Client failure to follow delivery instructions
- Acts of God or circumstances beyond reasonable control
10. Termination
- By Client: Written notice required. Paid deposits are non-refundable; in-progress work may be charged at hourly rates
- By Company: Termination for non-payment (after 14 days notice). No refund of deposits
- Upon termination, the Company will deliver work completed to date
11. Dispute Resolution
- Disputes are first addressed through written communication
- If unresolved within 14 days, mediation is proposed
- Binding arbitration or litigation may follow if mediation fails
- Disputes are governed by South African law
12. Limitation of Warranty
Services are provided "as is" without warranty of fitness for a particular purpose. The Company warrants that work will be performed professionally and timely, but does not guarantee specific results (e.g., job interview success, social media engagement).
13. Force Majeure
Neither party is liable for delays or failures due to circumstances beyond reasonable control (natural disasters, pandemics, war, civil unrest, government actions).
14. General Provisions
- Entire Agreement: This agreement + the quotation constitute the full contract
- Amendments: Changes must be in writing and signed by both parties
- Severability: If any term is invalid, others remain in effect
- Assignment: Client may not assign services without written consent
- Governing Law: These terms are governed by South African law
